By placing an order with Ink Splash Print, you agree to these Terms and Conditions.

1. Definitions

1.1 In these Conditions:

• “Company” means Ink Splash Print, a trading name of 78 Flux Group Ltd.
• “Customer” means the person or company purchasing Goods and/or Services from the Company.
• “Goods” means all printed, fabricated, or manufactured products supplied under this Contract, including but not limited to signs, graphics, printed media, vehicle wraps, and display materials.
• “Services” means any design, printing, installation, or other services provided by the Company.
• “Order” means the Customer’s written or verbal confirmation to proceed with the Company’s quotation.
• “Contract” means the agreement formed when an Order is accepted by the Company.

1.2 Headings are for reference only and do not affect interpretation.
1.3 These Terms apply to all Goods and Services supplied by the Company unless otherwise agreed in writing.

2. Orders and Quotations

2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 A binding Contract arises only when the Company issues written confirmation or commences work.
2.3 The Customer is responsible for ensuring all specifications, measurements, and artwork are accurate.
2.4 Any changes requested after work has begun may incur additional costs and may affect delivery times.
2.5 The Company reserves the right to refuse any Order at its discretion.

3. Prices and Payment

3.1 All prices are exclusive of VAT unless otherwise stated.
3.2 Payment terms are strictly as stated on the invoice. Unless agreed otherwise in writing, a 50% deposit is required before production starts, with the balance due prior to delivery or installation.
3.3 Late payments may incur interest at 4% above the Bank of England base rate.
3.4 Title to the Goods remains with the Company until full payment is received.
3.5 Payments must be made to 78 Flux Group Ltd, as stated on the invoice.

4. Design and Artwork

4.1 The Customer is responsible for supplying high-quality and accurate artwork files.
4.2 The Company accepts no liability for errors arising from incorrect artwork supplied by the Customer.
4.3 The Company retains the right to refuse any design that it considers inappropriate, unlawful, or offensive.
4.4 All intellectual property rights for designs created by the Company remain the property of 78 Flux Group Ltd unless otherwise agreed in writing.

5. Production and Materials

5.1 Due to the nature of printing and sign production, slight variations in colour, finish, or texture may occur.
5.2 The Company will endeavour to match colours as closely as possible but cannot guarantee exact reproduction.
5.3 All Goods are custom-made and non-refundable unless defective.
5.4 The Customer must ensure all surfaces are suitable for the application of graphics or signage.

6. Delivery and Installation

6.1 Delivery dates are estimates only. The Company is not liable for delays beyond its control.
6.2 Risk passes to the Customer upon delivery or collection of the Goods.
6.3 If installation is included, the Customer must ensure safe and clear access to the installation site.
6.4 The Company reserves the right to charge for aborted visits caused by lack of access or site readiness.

7. Warranties and Liability

7.1 The Company warrants that all Goods will be free from defects in material and workmanship for 12 months from the date of delivery or installation.
7.2 This warranty does not cover:

• Damage due to misuse, neglect, improper installation by others, or extreme weather conditions.
• Colour fading caused by UV exposure or ageing.
• Damage resulting from cleaning, chemicals, or mechanical impact.
  7.3 The Company’s liability shall not exceed the value of the Goods supplied.
  7.4 The Company accepts no responsibility for indirect or consequential loss, including loss of profit or business.
  7.5 Installation warranty (if applicable) covers only defects caused by poor workmanship within 12 months.

8. Cancellations and Returns

8.1 Orders cannot be cancelled once production has started.
8.2 In cases where cancellation is agreed, the Customer will be liable for all costs incurred to date.
8.3 As all products are custom-made, returns are not accepted unless due to proven manufacturing fault.

9. Intellectual Property

9.1 The Customer warrants that any logos, designs, or artwork supplied do not infringe third-party rights.
9.2 The Customer agrees to indemnify the Company against any claims related to copyright or trademark infringement.
9.3 The Company reserves the right to display images of completed work for marketing purposes unless otherwise agreed in writing.

10. Force Majeure

The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to power outages, supplier failures, extreme weather, or transport disruptions.

11. Data Protection

Personal data will be handled in accordance with the Company’s Privacy Policy. By placing an order, the Customer agrees that their information may be used for processing, invoicing, and communication purposes.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
